hereinafter referred to as the contractor,

WHEREAS, authority exists in the Law and Funds have been hudgeted, appropriated and otherwhe made
available and a sufficient unencumbered balance thereof remains available for payment in Fund Number ~OO 8

WHEREAS, re(!uued approval, clearance and coordlllatlon has been accomplished from and with applllpri:lfe
agencies; and

WHEREAS, ., pursuant to Title 37, Ar:tic1e 60, Color:ado Revised
Statutes 1973, as amended, the State, through the Color:ado Water
Conservation Board, may construct water r:esource projects and make
the water:s available ther:efr:om to the residents of the State of
Colorado upon conditions to be determined by the Colorado Water
Conservation Board; and

WHEREAS, the Contractor is a Water Conservancy District in the
State of Color:ado and wishes to under:take constr:uction of a darn
her:einafter: called the pr:oject for: the members of the Upper: Yampa
Water Conservancy District in Garfield County, Colorado, at an
estimated cost of Four: Million Seven Hundred Twenty-Five Thousand
Dollars ($4,725,000); and

WHEREAS, a feasibility investigation of said project was c()llducted
and it was found that such a project is economically feasible; nnd

WHEREAS, the State, thr9ugh the Colorado Water Conservation Board,
has agreed to construct said project and to sell the same to the
Contractor upon mutually agreeable terms and conditions, subject to
the appr:oval of appropr:iations for: that pnr:pose by the Colorado Gener:al
Assembly and the Governor of the State of Colorado; and

WHEREAS, pur:suant to Senate Bill No. 35, Fifty-First Gener:al
Assembly of the State of Colorado, duly enacted by the color:ado Gener:al
Assembly and appr:oved by the Gover:nor of the State of color:ado, there
was appropriated to the Colorado Water Conservation Board the sum of
One Million Dollar:s ($1,000,000) for cons tr:uction of the Yamcolo
Project; and

HHEREAS, the Contractor has available from its own sources and
from a loan approved by the Farmers Home Administration sufficient funds
to construct the remainder of the project;

NOW THEREFORE, in consideration of the mutual and dependent
covenants herein contained, it is agreed by the parties hereto as
fo llows :

A. The Contr:actor agr:ees that it will:

1. Cause the construction of said project to be completed within
two (2) year:s of the date of this contract in accordance with the pr:oject
plans and specifications and any necessary modification thereof approved
by the State. No payment will be made under: this contr:act until the
project plans and specifications are approved by the State" The above-
mentioned time may be extended by the State if such time is insufficient
