<br />WHEREAS~'? e pa~eSlX~~ 0 entered into an Amended Contract dated
<br />April 1, 1 , whi~ c~tract provided for, among other things, the
<br />amendment 0 e original contract to provide an additional sum of
<br />Seventeen ousand seven Hundred Dollars ($17,700) in order to
<br />complete said project; and
<br />
<br />WHEREAS, the Contractor has been unable to complete the project
<br />as shown by that certain letter dated .September 18, 1979, which
<br />letter is attached hereto and incorporated herein as Exhibit "A",
<br />
<br />NOW THEREFORE, it is hereby agreed that
<br />
<br />1. The terms and provisions of that certain Contract dated
<br />September 1, 1977, attached hereto as Exhibit "B" and incorporated
<br />herein by reference and the term and province of that certain
<br />Amended Contract dated April 1, 1979, attached hereto as Exhibit
<br />"e" and incorporated herein by reference, remain in full force
<br />and effect except as amen~ed herein.

<br />2. Paragraph A.9. of the original Contract and Paragraph 1
<br />of the AJ"'l.ended Contract a1t'e further amended to read as follows:
<br />
<br />To purchase from the State all of the State's right, title
<br />and interest in said project and any facilities hereof at"a
<br />total purchase price of Four Hundred Three Thousand Three Hundred
<br />Twenty Dollars ($403,320) payable in twenty (20) annual installments
<br />of Twenty Thousand One Hundred sixty-Six Dollars ($20,166) each,
<br />which first installment shall be due and payable on July 1, 1980,
<br />and yearly thereafter until the entire principal sum shall have
<br />been paid. Said installment payment shall be made payable to
<br />the Colorado Water Conservation Board, payable at the offic~ of
<br />said board in Denver, Colorado.
<br />
<br />3. The remaining provisions of the contract of September 1,
<br />1977 and of the amended contract of April 1, 1977 '. remain in
<br />force and effect without alteration.
