The act of a majority of the directors present at any meeting at which <br /> <br />a quorum is present shall be the act of thE! board of directors. unless the act of a <br /> <br />greater number is required by statute or by the articles of incorporation. If a quorum <br /> <br />shall not be present at any meeting of directors. the directors present therea:t may <br /> <br />adjourn the meeting from time to time, without notice other than announcement at the <br /> <br />meeting. until a quorum shall be present. <br /> <br />Section 7: Any action required or permitted to be taken at a meeting of the <br /> <br />directors may be taken without a meeting if a consent in writing. setting forth the <br /> <br />action so taken. shall be signed by all of the directors entitled to vote with respect <br /> <br />to the subject matter thereof. <br /> <br />ARTICLE VII <br />EXECUTNE COMMITTEE <br /> <br />Section 1: The board of directors. by resolution adopted by a majority of the <br /> <br />number of directors fixed by the by-laws or otherwise. may designate two or more <br /> <br />directors to constitute an executive committee. which committee, to the extent provided <br /> <br />in such resolution, shall have and exercise all of the authority of the board of directors <br /> <br />in the management of the corporation. eX<:ept as otherwise required by law. Vacancies <br /> <br />in the membership of the committee shall be filled by the board of directors at a regular <br /> <br />or special meeting of the board of directors.
