As we discussed, Trinchera Irrigation <br />Company held the August 24, 1993, Shareholder's meeting that is <br />discussed in opinion 7 on page 6 of the above-referenced August 12, <br />1993, opinion letter. Attached hereto are the original Secretary's <br />certification of that Special Shareholders Meeting along with the <br />certification of the notice of the Special Shareholders Meeting. <br /> <br />As a result of the holding of the August 24, 1993, Special <br />Shareholder's Meeting and my examination of the attached documents <br />and certifications, opinion 7 of my August 12, 1993, letter is <br />modified to read as follows: <br /> <br />7. Pursuant to C.R.S. ~ 7-25-107, the Board of Directors of <br />Trinchera Irrigation Company has the authority to mortgage and <br />pledge the property, real or personal, of the Trinchera <br />Irrigation Company as security for the Project Contract and <br />Promissory Note. Furthermore, a Special Shareholders Meeting <br />of the shareholders of Trinchera Irrigation Company was held <br />on August 24, 1993, and at that meeting, the shareholders of <br />Trinchera Irrigation Company authorized the Trinchera <br />Irrigation Company to enter into the Project Contract and <br />Promissory Note and to provide security for that borrowing <br />including, but not limited to, a Deed of Trust using as <br />collateral the Mountain Home Reservoir property of the Company <br />and a security interest in the assessments on stock in the <br />Trinchera Irrigation Company. <br />
