. ~) This authorization to the Board or such officer or officers it appoints shall include any modification to the Project Contract and Promissory Note so long as the principal amount borrowed does not exceed One Million Dollars ($1,000,000). This authorization shall include the power to modify the schedule of repayment and the amount of interest to be paid on the principal sum. FURTHER RESOLVED, the Board of Directors are authorized to make and levy assessment(s) sufficient to payoff the Project Contract and Promissory Note pursuant to its terms and to discharge the indebtedness represented thereby and to set aside the assessment revenue in a special fund separate and apart from other Company revenues to assure repayment of the revenue to the State. FURTHER RESOLVED, that the Board of Directors be, and the same is now and hereafter, authorized, directed, and empowered to do all acts and things and to take all steps reasonably necessary, appropriate, helpful, or convenient in its absolute discretion to consummate the aforesaid transaction. FURTHER RESOLVED, that the exercise of discretion by any of the aforementioned Board of Directors or any officer of the Company shall be conclusively. presumed by such Board of Directors' or officer's or officers' execution and delivery of any documentation incident hereto. FURTHER RESOLVED, that any and all other actions heretofore taken by any director or directors, officer or officers of Trinchera Irrigation Company to execute and deliver any of the documents authorized by the foregoing resolutions, are hereby approved, ratified and confirmed in all respects.
