Dear Mr. Ioannides:

Pursuant to your request, I have been directed by Beaver Park Water, Inc.
to advise you as follows:

As attorney for Beaver Park Water, Inc. I can advise you that Mr, Larry
White was elected as President of the Board of Beaver Park Water. Inc. and
Pauline Spinuzzi was elected as Secretary of said Board at the meeting held
March 11, 1985.

I can further advise you that under the By-Laws of the corporation, that
said President does have the authority to execute on behalf of Beaver Park
Water, Inc.. contracts approved by the Board of Directors, with the Secre,tary,
Pauline Spinuzzi to attest to said signature,

I want to further advise you that the Board, at a regular meeting held
on the l3th of August, did pass a resolution authorizing the Board and the
Secretary to enter into the contract with the Colorado Water Conservation Board
for additional improvements to the,system,

I wish to further advise you that the Board of Directors of Beaver Park
Water, Inc. does have the authority to enter into contracts with the State of
Colorado, and particularly, the Colorado Water Conservation Board, without a
vote of the stockholders, Specifically, the Board is granted the authority to
enter into such contracts without the necessity of a vote by the stockholders,

I wish to further advise you that there are no provisions in the By-Laws
of the corporation - or in any State or local laws preventing the con-
tracts from binding Beaver Park Water, Inc,

I wish to further advise you that the contract will be valid and binding
against the entity if it is entered into by the State of Colorado,
