<br />. <br /> <br />. <br /> <br />I. <br /> <br />AGREEMENT GOVERNING THE USE OF THE CRAM MODELING <br />SYSTEM SOURCE CODE, attached hereto as Attachment "4", prior to <br />such retrieval. All General Software Licensees shall be bound by the <br />terms and conditions of the Source Code Software License regardless of <br />the legal or business status of the Contractor. <br /> <br />B. The Master Escrow Agreement referenced in Pagagraph 16(B) above <br />shall include provisions which allow rerrieval of the documents in escrow <br />under any of the following conditions: <br /> <br />1) Hydrosphere has been adjudged bankrupt or is defunct or <br />no longer conducting business; <br /> <br />2) Any Certificate Holder elects to execute the Software <br />License Agreement Governing The Use Of The CRAM <br />Modeling System Software and provides proof that the fee <br />requirements of the liceJ1Se have been met; or <br /> <br />3) Hydrosphere and the District mutually agree to withdraw <br />the materials from escrow, <br /> <br />18. Future Litil1:ation. Contractor shall not appear as an expert witness on <br />behalf of any opponent to any Project Sponsor in any litigation in which the <br />Gunnison River Basin Plannning Model, developed under this Contract, is to be <br />used as an exhibit. <br /> <br />19. Conflict with Applicable Law. If any part of this contract, including, but <br />not limited to, any exhibit, provision, paragraph, clause, phrase or word, is <br />found to be in conflict with applicable laws, such part shall be inoperative, null <br />and void insofar as it is in conflict with said laws, but the remainder of the <br />contract shall be given full force and effect. <br /> <br />20. Notices. All notices, directives and approvals relating to this contract <br />shall be in written form, delivered in person or by the United States Mail, <br />certified mail return receipt requested, effective upon receipt, postage prepaid, <br />as follows: <br /> <br />10 <br />
