OR AGENCY <br />PDA <br />FUND NO, <br />462 <br />CODING <br />YYYY 008 WI'RC <br /> <br />CONTRACT ENCUMBRANCE NO, <br />C-153590 <br />ORIGINAL ENC: $100,000 <br />NO ADDITIONAL ENCUMBRANCE <br /> <br />ADDENDUM <br />Memorandum-of Understanding <br />, No. I-FC-40-10870 <br />Concerning <br />Gunnison River Basin Water Management and Planning <br /> <br />WHEREAS, the Colorado Water Conservation Board (CWCB) and the Colorado <br />River Water Conservation District (River District) are among the seven parties to the <br />referenced Memorandum of Understanding (MOU) to develop improved water management <br />tools for the use and development of water resources in the Gunnison River Basin; and <br /> <br />WHEREAS, pursuant to paragraph IlA2 of the MOU the River District will be the <br />contracting entity for the development of the planning model; and <br /> <br />WHEREAS, the Sponsor's Committee established pursuant to paragraph nc of the <br />MOU has agreed that the CWCB cash contribution of $100,000 will be contributed entirely <br />to the planning model; and <br /> <br />WHEREAS, the River District has entered into a contract with Hydrosphere Resource <br />Consultants, Inc. (Hydrosphere), at the direction of the Sponsor's Committee, to develop the <br />Planning Model; and <br /> <br />WHEREAS, the Contract between the River District and Hydrosphere calls for the <br />agencies represented on the Sponsor's Committee to enter into certain software license and <br />sublicense agreements as a condition of utilizing the Gunnison River Basin Planning Model <br />and the CRAM Model System Source Code on which the Gunnison River Planning Model <br />will be based; and <br /> <br />WHEREAS, the "Engineering Services Contract" dated January 21, 1992, between the <br />River District and Hydrosphere, which is attached hereto, includes the "Scope of Services" <br />related exhibits and licensing and sublicensing agreements, becomes a part of the MOU by <br />reference; and <br /> <br />WHEREAS, the purpose of the licenses and sublicenses is to protect Hydrosphere's <br />generic river basin model (CRAM) under United States Copyright Law, but, not prohibit <br />the use, duplication or distribution of the Gunnison Basin Planning Model to the general <br />public for analysis of new water development, alternative hydrology and demands of the <br />Gunnison River, and modifications of water system operating procedures in the Gunnison <br />River Basin. <br /> <br />NOW THEREFORE BE IT RESOLVED that the CWCB will contribute its entire <br />One Hundred Thousand Dollars ($100,000) cash contribution to the project through monthly <br />payments of Five Thousand Five Hundred Fifty-Five Dollars and Fifty-five Cents ($5,555.55) <br />for a period of eighteen (18) months based upon satisfactory demonstration that the work <br />is being accomplished in accord with the Scope of Services attached to the River District <br />contract with Hydrosphere; and <br /> <br />.. <br />
