This Amendment, made this ilday of ;J~and between the State of Colorado for the use and benefit
of the Department of Natural Re"ollrce" hereinafter referred to as the State. and I eonard Rice Engineers

Factual Recitals

Authority exists in the Law and Funds have been budgeted, appropriated and othelWise made available for
payment in Fund Number ill. Appropriation Code CBC, Agency EQi?. Org YY:Lt. Contract Encumbrance
Number C15~933; and Required approval. clearance, and coordination has been accomplished from and
with appropriate agencies; and

The original amount of the contract was $138,750, and was amended by Amendment #1 for the total amount
of $173.650.

The amended time for completion under Amendment #1 was February 28,2003.

Tasks 5 & 6 require additional compensation and time, which both parties agree is fair and necessary,

NOW THEREFORE. it is hereby agreed that

1. Consideration for this Amendment to the Original Contract, CE Number C 153933. Contract Routing
Number 02 PDA 00047. dated .lanlJary 31 2002 as amended consists of the payments which shail
be made pursuant to this amendment and the promises and agreements herein set forth.

2. It is expressly agreed by the parties that this amendment, contract amendment #2. is supplemental
to the Original Contract Number C 153933. dated January 31 2002 and Amendment #1. dated
September 25.2002 which is, by this reference, made a part hereof. and identified as Exhibit 1, and
all terms, conditions, and provisions thereof, unless specifically modified herein. are to apply to this
amendment as though they were expressly rewritten, incorporated, and included herein.

3. It is agreed the Original Contract dated January 31, 2002 is and shall be modified, altered, and
changed in the foilowing respects only:

a. The time to complete the project shail be extended to August 31. 2003,

5. The effective date of the Amendment is the date approved by the State Controiler or his designee.

6. Except for the "Special Provisions", in the event of any conflict. inconsistency, variance. or
contradiction between the provisions of this Amendment or any of its attachments or exhibits, and
any of the provisions of this amendment shall in ail respects supersede, govern. and control. The
