<br />, <br /> <br />I <br /> <br />. <br /> <br />. <br /> <br />RESOLUTION <br /> <br />of the <br /> <br />Board of Directors of <br /> <br />Redlands Water & Power Company <br /> <br />WHEREAS, the Colorado Water Conservation Board (hereinafter <br />CWCB) has prepared a form of Feasibility Report Contract to enable <br />Redlands water & Power Company, (hereinafter the Company) to hire <br />Western Engineers to perform consulting services to identify <br />possible projects for repair, replacement, rehabilitation, <br />upgrading or improvement of the Company's total water delivery <br />system; and <br /> <br />WHEREAS, Western Engineers is reputed to be an engineering <br />firm in the area of Company's operations which is known to be <br />familiar with the procedures and guidelines of the CWCB; and <br /> <br />WHEREAS, the CWCB will pay one-half the cost of the <br />Feasibility Report provided the cost thereof shall not exceed <br />$65,510.00; and <br /> <br />WHEREAS, the CWCB will increase its share of the cost of the <br />Feasibility Report in the event of low flow in the Gunnison River <br />which results in decreased revenues from power sales by the <br />Company; and <br /> <br />WHEReAS, the actual cost of the Feasibility Report from <br />Western Engineers will be subject to negotiation; and <br /> <br />WHEReAS, the preparation ~nd completion of the Feasibility <br />Report will make the Company eligible to enter into long-term <br />financing with the CWCB to pay [or such rehabilitation, repair, <br />replacement, upgrading or improvements of the Company's total <br />water delivery system, and it i~ in the best interest of the <br />Company to enter into the Feasioility Report Contract with eWeB. <br /> <br />NOW THEREFORE, be it <br /> <br />RESOLVED that the Feasibility Report Contract De entered <br />into by the Company and that the President, Robert L. Sutton, be <br />and is hereby authorized to execute same for and in Dehalf of the <br />Company, subject to the explanatory modification as noted in <br />paragraph 5, page 2, of the Contract. <br />
