RESOLUTION

of the

Board of Directors of

Redlands Water & Power Company

WHEREAS, the Colorado Water Conservation Board (hereinafter
CWCB) has prepared a form of Feasibility Report Contract to enable
Redlands water & Power Company, (hereinafter the Company) to hire
Western Engineers to perform consulting services to identify
possible projects for repair, replacement, rehabilitation,
upgrading or improvement of the Company's total water delivery
system; and

WHEREAS, Western Engineers is reputed to be an engineering
firm in the area of Company's operations which is known to be
familiar with the procedures and guidelines of the CWCB; and

WHEREAS, the CWCB will pay one-half the cost of the
Feasibility Report provided the cost thereof shall not exceed
$65,510.00; and

WHEREAS, the CWCB will increase its share of the cost of the
Feasibility Report in the event of low flow in the Gunnison River
which results in decreased revenues from power sales by the
Company; and

WHEReAS, the actual cost of the Feasibility Report from
Western Engineers will be subject to negotiation; and

WHEReAS, the preparation ~nd completion of the Feasibility
Report will make the Company eligible to enter into long-term
financing with the CWCB to pay [or such rehabilitation, repair,
replacement, upgrading or improvements of the Company's total
water delivery system, and it i~ in the best interest of the
Company to enter into the Feasioility Report Contract with eWeB.

NOW THEREFORE, be it

RESOLVED that the Feasibility Report Contract De entered
into by the Company and that the President, Robert L. Sutton, be
and is hereby authorized to execute same for and in Dehalf of the
Company, subject to the explanatory modification as noted in
paragraph 5, page 2, of the Contract.
