agencies; and

WIIEREAS, 'J pursuant to the provisions of 37-60-119, Colorado
Revised statutes 1973, as amended, the ColorQdo Water Conservation
Board is authorized to construct certain water projects for the
benefit of the people of the state of Colorado; and

WHEREAS. the Town of Hotchkiss has made application to the
Colorado Water Conservation Board for the construction of a water
project for the purpose of improving its municipal water supply; and

WHEREAS, the contractor is a professional engineering firm
within the State of Colorado and has previously done c~nsiderable
water-related work for the Town of Hotchkiss and various other
municipalities in Colorado;

NOW THEREFORE, it is hereby agreed that

1. The Contractor agrees to prepare a feasibility report
directed to the problem of improving the municipal water of the
Town of Hotchkiss in accordance with a proposal for project feasi-
bility report prepared by the contractor and approved by the
Colorado Water Conservation Board, received November 19, 1975, which
proposal is attached hereto as Appendix A and made a part of this
contract.

2. Thirty (30) copies of the report called for in this contract
shall be furnished to the State not later than May 31, 1976, unless
such time is extenaed by mutual agreement of the parties hereto.

3. As compensation for the services of the contractor, the
state agrees to pay the Contractor the sum of '!Wo Thousand Seven
Hundred and Fifty Dollars ($2,750) in the manner following:

a. sixty percent (60%), to wit, One Thousand Six Hundred
and Fifty Dollars ($1.650) of the total amount due in two (2) monthly
installments of Eight Hundred Twenty-Five Dollars ($825) each,
commencing on April 1, 1976.

b. The remaining forty percent (40%), to wit, One Thousand
One Hundred Dollars ($1,100) within thirty (30) days following
receipt and acceptance of the written report specified in paragraph 2
of this contract.

4. TI1is contract is personal in nature and assignment of
performance by the Contractor to another is prohibited unless prior
approval in writing is granted by the state.
