S. Please provide a brief description of the owner's existing
water supply facilities. Describe any existing operational
or maintenance problems:

The water supply facility consists of 9,820 feet of concrete pipe, which
are in two-foot sections that were hand mortared at the joints. Pipe
diameter varies from 16" up to 24".

Because the system is about 65 years old we have experienced a lot of
deterioration of the mortared joints and cracking of the tiles, which has
resulted in leaks. We are unable to deliver the full amount of water to
each shareholder. The cement standpipes and air vents are also deteriorating
and in danger of collapsing and need to be replaced. Most of the dividing
boxes are too low to measure the water properly, so they need to be replaced.

Our customers' shares of Milton Reservoir water are delivered to the Loloff
Lateral pipeline through the Gilmore Canal. The Loloff Lateral then delivers
that water to each customer. Please see Exhibit B, Page 5 -- Map.

Note: The eight shareholaers own a combined total of 14~ shares of
stock. The six customers own a combined total of 770 acres which
are serviced by the lateral ditch.
