from the Grand Valley Canal owned and operated by the Grand

Valley Irrigation Company, at a point hereinafter described and

to transport to the members of the said Elmwood Lateral Ditch

Company such quantities of irrigation water as they may severally

be entitled to receive from the Grand Valley Irrigation Company;

to levy and collect pro rata such assessments as may from time

to time be necessary for enlargement, repairs, maintenance and

superintendence of aaid lateral ditch; the said company is or-

ganized for the purpose of carrying irrigation water from said

Grand Valley Canal of the Grand Valley Irrigation Company to

and for the several stockholders of the Elmwood Lateral Ditch

Company in proportion to the stock severally held by them.

This corporation shall be a mutual, lateral, irrigating company

and is not designed to own or sell or otherwise dispose of water

and is created for the mutual benefit of its stockholders. The

corporation may also carry water derived from the said Grand

Valley Canal, which water is rented or otherwise supplied by

the Grand Valley Irrigation Company to persons who are not en-

titled to receive such water by reason of owning shares of stock

issued to them by the Grand Valley Irrigation'Company.

ARTICLE IV.

THE ELMWOOD LATERAL

The point at which the said Elmwood Lateral Ditch

shall take water out of the canal of the Grand Valley Irriga-

tion Company is at a point in Mesa County, Colorado approximately

3 feet East of the Southwest corner of the Southeast Quarter of

the Southeast Quarter, Section 5, Township 1 North, Range 2
West, Ute Meridian; the line and the course of said EImwood
Lateral is as follows:
