RE: Farmers Extension Ditch and
Highland Lake Lateral

Pursuant to your request, this letter is intended as an
attorney's opinion l~tter regarding the authority of Farmers
Extensi6n Ditch and Highland Lake Lateral to enter into the
contract dated June 1, 1984.

1. Glen Anderson, President of Farmers Extension Ditch was
duly elected President of the Ditch Company and under the by-laws
of the Di tch Company is dUly author ized to execute contracts on
behalf of the Ditch Company.

2. Glen Anderson has the authority to bind the Ditch Company
and the contract was approved at a duly called meeting of the
Board of Directors of the Farmers Extension Ditch Company held on

opinion letter.

3. Article VI of the by-laws of the Ditch Company empower
the Board to enter into any and all contracts that the Board
deems necessary for the conduct of the Ditch Company's business.
The minutes of the Board meeting on March 1, 1984, show that the
Board duly authorized this contract.

4. There are no provisions of the Articles or by-laws of the.
Ditch Company or any state or local law that prevents this
contract from binding the Ditch Company.
