Articles of Incorporation and Bylaws are presented in Appendix A.

The Company facilities are located in the vicinity of Sterling on the north side of the South Platte
River and provide delivery of irrigation water to 96 users (see Map of Service Area, page 2). The
facilities include a roll-over type diversion daIll and headgate on the South Platte River located
near the west quarter-section comer of Section :26, Township 6 North, Range 54 West of the Sixth
Principal Meridian, Logan County, Colorado (see Photographs of Existing Structures, page 3).

The diversion structures were originally constructed in 1926 and major headwall improvements

were made within the last 20 years. The dam is approximately 220 feet long and the headgate

structure length is approximately 40 feet.

Project Service Area

The Company service area is comprised of approximately 10,000 acres of farmland in Logan
County. Irrigated crops include sugar beets, corn, alfalfa, and beans.

Need for the Project

The Company is undertaking this project to stabilize the diversion structure in order to ensure
continued delivery of irrigation water. The existing dam and head gate were damaged during
flooding in July/August 1997. Floodwater undermined the concrete structures leaving them
unstable and susceptible to failure during the next high water. Extensive reconstruction and
reinforcement of the foundations is required if tbe facilities are to reliably provide irrigation water
delivery.

1
