<br />I <br /> <br />2. <br /> <br />I <br /> <br />written approval from the Board of Directors: <br />1. A change in point of diversion from the Pawnee Canal Headgate <br /> <br />I <br /> <br />to any other point of diversion; <br /> <br />2. A change in type of use from irrigation to any other use; and/or <br /> <br />I <br /> <br />3. A change in place of use to irrigate lands not historically <br />irrigated by the Farmerl Pawnee canal. <br /> <br />I <br /> <br />A shareholder desiri~g to make any of the above changes shall submit <br /> <br />a written request to the Board of Directors. The request shall include <br /> <br />I <br /> <br />suggested te~s amd conditipns intended to prevent injury to the canal, <br /> <br />the Company, and other shareholders. The Board of Directors may, in its <br /> <br />I <br /> <br />sole discretion, ret~in legal and/or engineering consultants to assist <br /> <br />I <br /> <br />the Board in evaluating the request. The shareholder(s) making the <br /> <br /> <br />request shall reimburse the Board of Directors for all costs incurred <br /> <br /> <br />by the Board in considering the request, including the fees of the legal <br /> <br />I <br /> <br />and/or engineering consultants retained by the Board. Reimbursement of <br /> <br /> <br />such costs shall be due and payable to the Board of Directors within <br /> <br />thirty (30) days after receipt of an itemized statement of such costs <br /> <br />I <br /> <br />from the Board. If, in the opinion of a majority of the Board of <br /> <br />directors, such change may be made without injury to the canal, the <br /> <br />I <br /> <br />the Company, and other shareholders, such water may then be delivered <br /> <br />to such place or places for the type of use requested; provided that <br /> <br />I <br /> <br />the shareholder requesting the change shall notify, in writing, all <br /> <br /> <br />shareholders who are entitled to delivery of water at either the place <br /> <br />I <br /> <br />from which or to which delivery is changed of such change; and provided <br /> <br />further that judicial approval of the requested change has also been <br /> <br />I <br /> <br />obtained pursuant to the applicable provisions of C.R.S <br /> <br />37-92-101, <br /> <br />I <br /> <br />at seg. as they may from time to time be amended.
