incorporation. ' The act of a majority of the directors present at any meeting at which

a quorum is present shall be the act of tile board of directors, unless the act of a

greater number is required by statute o~ by the articles of incorporation. If a quorum

shall not be present at any meeting of directors, the directors present thereat may

adjourn the meeting from time to time, Without notice other than announcement at the

meeting, until a quorum shall be present.

Section 7: Any action required or permitted to be taken at a meeting of the
directors may be taken without a meeting if a consent in writing, setting forth the
action so taken, shall be signed by all of the directors entitled to vote with respect
to the subj ect matter thereof.

,ARTICLE VII
EXECUTIVE COMMITTEE
Section 1: The board of directors, by resolution adopted by a majority of the

number of directors fixed by the by-laws or otherwise, may designate two or more

directors to constitute an executive committee, which co=ittee, to the extent provided

in such resolution. shall have and exercise all of the authority of the board of directors

in the management of the corporation, ~cept as otherwise required by law. Vacancies

in the membership of the committee shall be filled by the board of directors at a regular

or special meeting of the board of directors. The executive committee shall keep regular

minutes of its proceedings and report the same to the board when required.

NOTICES
Section 1: Whenever, under the provisions of the statutes or of the articles of

incorporation or of these by-laws, notice is required to be given to any director or
