<br />= The Grantor recorded the Original Deed of Trust to secure repayment of the
<br />indebtedness evidenced by Loan Contract dated October 23, 1996 and amended April 1,
<br />2001 and the Promissory Note dated April 1, 2001 between the Grantor and the
<br />Beneficiary.
<br />
<br />The amount of the loan to the Grantor was increased from $2,357,000 to
<br />$2,658,500. The Grantor and Beneficiary have agreed to amend the Original Deed of
<br />Trust to reflect the increased loan amount of $2,658,500.
<br />
<br />NOW THEREFORE, the Beneficiary and Grantor agree that:

<br />1. The second full paragraph of the Original Deed of Trust is hereby amended to read as
<br />follows:

<br />$2,658,500, to be repaid to the Colorado Water Conservation Board ("CWCB") the /
