WHEREAS, rcquifl'd approval, c1clIrancc and coordination has been accomplished from and with appropriate

WHlm.EAS,'J the State and the Contractor did, on November 1, 1979,
entcr into a contract for State participation in the COflstruclion
of the Winter Park water supply project for the members of the
Winter Park Water and Sanitation District in Grand County, Colorado
at an estimated cost of Seven Ilundred Fifty Thousand Dollars
($750,000), which contract is attached hereto as exhibit "A" and
hereby incorporated into this amended contract; and

WIIEREAS, the State and the Contractor have agreed to amend the
original contract marked DB exhibit "A" to reflect an additional
One llundced Pifty Thousand Dollars ($150,000) authorized to the
Winter Park water supply project in Senate Bill 67, Fifty-Second
Jtegular Session or the General Assembly, which money is considered
necessary to cOluplotc the project.

NOW 'l'IJEREFORE,
convenants herein
as fol10.....s:

in consideration of the mutual and dependent
contained, it is agreed by the parties hereto

1. The terms and provisions of that certai~ contract dated
November 1, 1979, attached hereto as exhibit "A" and incorporated
herein by reference, remain in full force and effect except as
amended herein.

2. Paragraph A.3 is hereby amended to read as follows:

3. Conveyor cause title to be conveyed by deed or other
proper conveyance to the Colorado Water Conservation Board,
Department of Natural Resources, State of Colorado, the
following portions of the proposed project facilities:

ia) A 300 gpm treatment plant located adjacent to the
Fraser River approximately 200 feet downstream of the
U.S. 40 - Fraser River Crossing. Also, a building
shell to include ahove treatment plant.

(b) One 300,000 gallon storage tank located above the
Mary Jane Lodge and adjacent to the existing 80,000
gallon Mary Jane storage tank.

(c) Land anc easements within which (a) ~ (d) will be

3. Paragraph A.I0 is hereby amended to read as follows:

10. To purchase from the State all of the State's right,
title, and inter~st in said project and any facilities
thereof at a total purchase price of One Million Five
Hundred Sixty-One Thousand Four Hundred and Ten .Dollars
:$1,561,410) payable in thirty (30) annual installments
of Fifty-Two Thousand Forty-Seven Dollars ($52,047) each,
which first installment shall be due and payable on
September 1, 1982 and yearly thereafter until the entire
