<br />. <br /> <br />. <br /> <br />F. The professional engineer warrants that he has not employed <br />or retained any company or person, other than a bona fide <br />employee working solely for him, to solicit or secure this <br />contract and that he has not paid or agreed to pay any person, <br />company, corporation, individual, or firm, other than a bona <br />fide employee working solely for him, any fee, commission, <br />percentage, gift or other consideration contingent upon or <br />resulting from the award or the making of this contract. <br /> <br />G. Except for surveying and drafting work as specified in <br />Exhibit C, contractor may not obtain the services of other <br />subconsultants or subcontractors unless the state gives its <br />written approval. All payments due any subcontractors or <br />subconsultants shall be the sole responsibility of the <br />Contractor. Such subcontractors and subconsultants shall have <br />no claim, lien or course of action whatsoever against the State <br />because of the Contractor's failure to make payments to any such <br />subcontractors or subconsultants for services rendered and <br />expenses or other liabilities incurred by such subcontractors or <br />subconsultants. <br /> <br />H. The Contractor shall perform its duties hereunder as an <br />independent contractor and not as an employee. Neither the <br />Contractor nor any agent or employee of the Contractor shall be <br />or shall be deemed to be an agent or employee of the State. <br />Contractor shall pay when due all required employment taxes and <br />income tax withholding, shall provide and keep in force worker's <br />compensation (and show proof of such insurance) and unemployment <br />compensation insurance in the amounts required by law, and shall <br />be solely responsible for the acts of the contractor, its <br />employees and agents. <br /> <br />I. This agreement is intended as the complete integration of <br />all understandings between the parties. No prior or <br />contemporaneous addition, deletion, or other amendment hereto <br />shall have any force or effect whatsoever unless embodied herein <br />in writing. Except as noted in paragraph B.1., no subsequent <br />notation, renewal, addition, deletion, or other amendment hereto <br />shall have any force or effect unless embodied in a written <br />contract executed and approved pursuant to State fiscal rules. <br /> <br />J. In the event of breach of this contract by the contractor, <br />including breach of any of the provisions of this contract by <br />the contractor, the State may terminate the contract. In the <br />event this contract is terminated prior to the completion of the <br />tasks specified in the Scope of Services, Exhibit A, the <br />Contractor shall be entitled to compensation for only such tasks <br />as were satisfactorily completed by it, and only in an amount <br />that does not exceed the total amount of this contract. <br /> <br />K. Any report, information, data, etc., given to or prepared or <br />assembled by the consultant or subcontractor or subconsultant <br />under this contract shall not be made available to any <br /> <br />Page i of 1 Pages <br />
