Whereas the aforementioned corporation, it~ payers, <br />projects; an~ pu!poses are "to be exercised in order to aid <br /> <br />the member municipalities -in the conduct of water and sewage <br />.servic~s but not to supplan~ the municipal services ~ithin municipal <br /> <br />boundaries, and <br /> <br />Whereas it is to the mutual benefit of the Coa~ Creek <br /> <br />municipalities to form such Corporation, <br />Now therefore be it resolved, by the City counpil of <br /> <br />LOUISVILLE, COLORADO <br /> <br />i <br />that the Coal Creek Wat~r Users <br /> <br />Association, Incorporated, as. formed under C.R.S. 19p3, 31-19-1 <br />et. seq. has the full support and backing of the Cit~ Council <br /> <br />of LOUISVILLE, COLORADO <br /> <br />And Further, the City Council hereby pledges i~s financial <br />suppor~.of' 40% of the Coal Creek Project, and by thi~ reso~utr?n <br />. , <br />hereby accepts. 40% of the project indebtedness to date of signing <br />i . . <br />. . , I . <br />of this resolution. Any future expenses exceeding .$1500 shall, to <br />! . . <br />, <br />insure continuing support, have to be approved by th~s City Council <br />before the City becomes obligated for their 40 % share of any <br />, <br />I <br />such expenses or indebtedness. Any failu~e to assuror the percentage <br />share of p~oject obligations where required by this paragraph shall <br />I <br />result termination of c~rporate membership of this mpnicipality, <br />as shall be evidenced by a revocation of the certifi~ate of <br />membership of the municipality. Obligations for pas~ expenses shall, <br />i . <br />in the event of termination of membership, " continue unabated. <br /> <br />, <br />The management of the Corporation shall be"by ~e Board of <br />Directors, who shall be nominated and elected by theimember~ of the <br />: Corporation as provided for -by law, which Board shall contain the <br /> <br />.(10) members, as further delineated and set forth on the by-laws <br /> <br />of the Corporation. <br />When a provision of this Resolution is found tb be in <br /> <br />conflict with a rrovision of any ordi~ance, code or ~harter of <br />this initiating municipality, or other member municipality <br />pertaini~g to the subject of water or sewage program~, ,projects <br />. , . <br /> <br />or services, that provision whiGh provides "the higher standard for <br /> <br />the promotion and protection of the health and safety of the people <br /> <br />and which promotes the utilitarian plans of this corforation shall <br />prevail. <br />
