<br />Pursuant to the Colorado Corporation Code, GRONNING
<br />ENGINEERING COMPANY, a Colorado corporation, Restates and Amends
<br />its Articles of Incorporation as follows:.

<br />1. NAME OF CORPORATION.
<br />
<br />The Corporation's name is GRONNING ENGINEERING COMPANY.
<br />
<br />2. DURATION OF CORPORATION
<br />
<br />The period of the corporation's duration is perpetual.
<br />
<br />3. PURPOSES AND POWERS
<br />
<br />The purposes and powers of the Corporation shall be as
<br />follows:
<br />
<br />3.1 Engineering Services. To provide multi-disciplinary
<br />engineering services, including, but not necessarily limited to:
<br />technical, water resources, sanitary, surveying, and safety
<br />engineering; environmental assessment; project management; health
<br />systems planning; construction administration, financial
<br />planning, testing and inspection; and to engineer, contract or
<br />construct water supply and treatment systems, and other
<br />facilities for this corporation and other persons, partnerships,
<br />associations, municipalities, and corporations.
<br />
<br />3.2 Real Property and Business Enterprise. To purchase,
<br />lease or in any manner hold, own, improve and develop real
<br />property for any and all purposes; to sell, convey, lease,
<br />mortgage or in any manner dispose of or deal with lands and real
<br />property and any estate or interest therein; to contract, acquire
<br />by purchase, lease or otherwise own, operate, manage, supervise
<br />and conduct and to sell, lease, mortgage or otherwise dispose of
<br />buildings, structures and properties of all kinds; to own,
<br />operate, manage, supervise and contract to grant concessions,
<br />rights or licenses to others to operate, manage or otherwise
<br />dispose of, or deal with all kinds of business stores and
<br />offices; to car ry on any lawful business; and to do any and
<br />everything necessary, suitable, convenient or proper for the
<br />accomplishment of any of the purposes enumerated or incidental to
<br />the powers named or for the enhancement of the value of the
<br />property of the Corporation or which should at any time appear
