This letter is written to <br />provide an attorney's opinion regarding validity of the ditch <br />companies' actions in entering the project contract: <br /> <br />1. The president of the Farmers Extension Ditch Company is <br />Glen Anderson and the secretary is Elizabeth A. Whitmore. <br /> <br />The president of Highland Lake Lateral Ditch Company is <br />Clayton Claus and the secretary is Virginia Frei. <br /> <br />They are the persons authorized to sign the contract on <br />behalf of the ditch companies. <br /> <br />2. The persons signing the contract are authorized to do so <br />and bind the entities. Copies of the resolutions authorizing <br />their actions and approving the contract are attached. <br /> <br />3. The governing bodies, tne Board of Directors, have the <br />authority to enter into the contract without a vote of the <br />shareholders of the ditch companies. . <br /> <br />4. There are no provisions in the companies Articles, Bylaws, <br />codes or charters or any state or local law that prevents this <br />contract from binding the Farmers Extension Ditch Company and <br />Highland Lake Lateral Ditch Company. <br />
