WHEREAS. the Owner and the Contractor entered into a
contract dated September 19. 1988. contract encumbrance number
C-153528 (hereinafter the "Original Contractl'); and

WHEREAS. there was no indemnification clause in the
Original Contract specifically directed to the benefit of the
landowners who may be affected by the right-of-way acquisition
of land for the purpose of ~onstructing the Towaoc pipeline;
and

WHEREAS. it is now necessary to amend the Original Contract
to include an indemnification clause for landowners.

NOW THEREFORE. it is hereby agreed as follows:

1. This contract amendment is a supplement to the Original
Contract. Exhibit A. which is by this reference incorporated
and made a part hereof. All the terms, conditions, and
provisions of the Original Contract, unless specifically
modified herein. apply to this contract amendment as though
they were expressly rewritten. incorporated. and included
herein.

2. After paragraph 7.7 of the Original Contract. a new
paragraph 7.8 shall be inserted which will read as follows:

and hold harmless the landowners from any and all
claims or liabilities for injury or death to
