NO. 11527 <br /> <br />November 5, 1984 <br /> <br />Gentlemen: <br /> <br />Please be advised that, as attorney for the Manvel <br />Canal and Irrigation Company, I have reviewed a contract dated <br />as of September 24, 1984 between the Department of Natural <br />Resources (Colorado Water Conservation Board) as the "State" <br />and Manvel Canal and Irrigation Company as the "Contractor". <br />It is my opinion that: <br /> <br />(a) That Mr. Michael K. Higbee, who signed for the <br />contractor, is the duly elected, qualified and acting <br />president of the contractor and that his signature appears <br />thereon. <br /> <br />(b) That Mr. Michael K. Higbee, acting for and signing <br />on behalf of the contractor has the authority to bind the <br />contractor and that the contract to which his signature is <br />appended has been validly approved by the entity's governing <br />body as indicated by the minutes of the meeting of the <br />board of directors approving the same which is attached <br />hereto. <br /> <br />(c) <br />authority <br />of a vote <br /> <br />That the governing body of the entity has the <br />to enter into the contract without the necessity <br />of the shareholders of the company. <br /> <br />(d) That there are no provisions in the entity's <br />By-laws or Articles of Incorporation or of any state or <br />local law that would prevent this contract from binding <br />the entity. <br /> <br />(e) That, if the agreement is entered into by the <br />State, it will be a valid and binding one against the <br />contractor. <br />
