<br />A. The final payment of $30,000 shall be withheld by the
<br />State until the camera ready originals of the final report
<br />wh-ich .is required by Exhibit B, Scope of Services, have been
<br />received by the State, whereupon the Contractor shall submit
<br />its invoice for the final payment.
<br />
<br />B. The Contractor shall, either upon the face of the
<br />invoice submitted for the final payment, or by separate
<br />letter, indicate that it has no further claim to make for
<br />compensation or reimbursement due it pursuant to th~ terms
<br />of this contract.
<br />
<br />3. The fixed sum specified in parar:aph 2 above shall cover
<br />all services performed and expenses incurred by the Contractor in
<br />the course of performing this contract including, but not limited
<br />.to, the professional and clerical services of the Contractori the
<br />expenses of consultants and subcontractors retained by the Con-
<br />tractor~ travel, meals, lodging, and incidental travel expenses~
<br />expenses for expendable materials and supplies; computer charges;
<br />expenses for "report preparation and reproduction; direct and
<br />"indirect overhead; and -the Contractor's profit.
<br />
<br />4. In the event that this contract is terminated by either
<br />party pursuant to paragraph 15 below prior to the completion of
<br />the study tasks, analyses, and products specified in Exhibit S,
<br />Scope of Services, the Contractor shall be entitled to compensa-
<br />tion for only such study tasks, analyses, and products as were
<br />satisfactorily completed by it up through the date of
<br />termination.
<br />
<br />A. In calculating the compensation due the Contractor in
<br />such circumstances, personal services expenses shall be
<br />calculated at the following rates:
