On November <br />5, 1986, at a special meeting of the Board of Directors of the District, <br />a feasibility report contract, dated October 15, 1986, between the <br />District and the Department of Natural Resources (Colorado Water Conservation <br />Board) was approved. <br /> <br />Based on the actions of the Board and the laws and constitution of <br />the State of Colorado, I would confirm the following: <br /> <br />1. That the contract was signed by Ronald C. Anderson, the duly <br />elected president of the Board of Directors of Durango West Metropolitan <br />District ftz. <br /> <br />Z. That Ronald C. Anderson as president has the authority to <br />bind the District by his execution of the contract and the contract <br />was validly approved by the District at a special meeting called pursuant <br />to statute with properly posted notices. A quorum, as required by <br />law, was present and a motion to approve the contract was duly made, <br />seconded and unanimously passed. <br /> <br />3. Durango West Metropolitan District has the authority to enter <br />into contracts pursuant to C.R.S. 3Z-1-1001(1)(b). No vote of the <br />electors of the District is required since the debt created by this <br />contract is excepted from election requirements under the constitution <br />of Colorado, Article XI, Section 6 (3). In addition, the contract <br />between the state agency and the District is authorized under the constitution <br />of Colorado, Article XIV, Section 18 (Z)(a). <br /> <br />4. There are no rules and regulations of the District, no restrictions <br />in the service plan of the District or any other state or local law <br />that prevents the District from entering into a binding contract. <br /> <br />5. This contract will be a valid and binding obligation of the <br />
