WHEREAS. the Dfstrict has made application- to the State for,
the impl:ovement .of' it'S existing facility. such.'improvement of
the .fa'cility is heceinaftel: sometimes referred' to .,as the
pro Ject: and.

WHEREAS. the' Contl:actor is a metropolitan distl:ict within
the ,State of Colorado;

NOW THEREFORE; it is hereby agreed that:

1. The; Contractor shall have a feasibility 'l:epol:t, prepal:ed
and directed to the problem of improving the facilities of the
District in acco~dance with a proposal" fOl: a project _
feasibility repol:t 'prepal:ed by the consulting eriqineel:inq fil:ID .
of Hal:l:is Watel: Enqi"neerinq (the Consultant) and approved by"
the State, received September 26. 1986. which proposal is
attached hereto as Exhibit A and made-a pal:t of. this contl:act.

2. Fifteen,(15) copies of the final report called for in
th1a.-..,..,c,ontl:act shall.__be.. furnished to the State not latel: than/
December 1-. 1986. "urness. such time is extended by mutual
agreement of the parties hereto in writinq. /

3. As compensation fOl: the sel:vices of the ContractOl:. the
State shall pay to the ContractOl: the 5U~ of Eleven Thousand
Five Hundred, Dollars ($11.500) in the manner fOllowing:

a, Sixty percent (60%). to wit. Six Thousand Nine Hundred
Dollars ($6.900) of the total amount due in two (2) monthly
installments of Thl:ee Thousand Four Hundred Fifty Dollal:s
($3.450) each. commencinq on November 15. 1986.

b.' The remaining forty pel:cent (40%). to wit. FOUl:
Thousand six Hundred Dollars ($4,600) within forty (40)
days following l:eceipt and acceptance of' the written l:epol:t
specified in pal:aql:aph 2 of this contract.

4. The total COst of services to be rendered for the
contractor by the Consultant is Twenty-Thl:ee Thousand .Dollars
($23,000) and the Contractor shall pay the sum of Eleven
Thousand Five Hundred Dollars ($11,500) as aqreed to by letter
dated September 23, 1986. which is hereby attached and made a
pal:t of this contl:act as Exhibit B; and in no event shall this
payment be. the liability Of the State of Colol:ado.

5. In considel:ation of the State assuming a portion of the
cost of the pl:eparation of the said project feasibility repol:t.
