ART! CLE I

BOARD OF DIRECTORS

Section 1. Appointment. The Board of Directors, provided
for in.the Decree of Incorporation of this District, shall be
appointed by the District Court and shall be residents of and
owners of real property in the sub-district from which they
are chosen. Each Director shall hold office during the term

Section.3. GeneraL Powers and Duties..The l'owers -and
duties of the Board of Directors shalJ be all those set
forth in the Colorado ~evised Statutes, 1963, Chapter 150,
Article 5, as amended. In:-accordance with said Statutes,
the Board ~hall have. in addition'io.all other powers
reasonably to be'inferred, the power to:

a. Manager the business and affairs of the District.
b. Engage and remove, a .manager, an ~ttorney, an
engi neer, and such .'Other' eng-l neer.s-. a ttorneys.., as s i s-
tants and agents, whenever, in -its judgement, the
best interes~s'uf the District will be served there-
by, and said employees and agents shall perform such
duties and exerc.ise.such ~uthori,ty ~s the Board may
from time to time vest in them.
c. Fix salaries and compensation for employees ap-
pointed by the Board.
d.-Make and adopt such Rules and Regulations, not
inconsistant with law, as it may deem advisable for
proper management of the business and affairs of the
District.
e. Adopt an annual budget.
f. Designate by resolution such officers. agents ,or
other employees, authorized to sign checks, drafts
or other orders for the payment of ~oney, and th~
manner. in which such checks, drafts and orders shall
be issued.

Section 4. Meetings.
a. A regular meeting of the Board of Directors shall
be held monthly at such time and place as the Board
of Directors may provide by resolution.
b. Special meetings of the Board of Directors may be
held at any time at any place upon written notice of
