<br />CERl'WICATE <br />OF <br />CORI'ORATI<; RESOLUTION 011 <br />ARISTOCRAT RANCIIE'fU; WATER I'RO,JECT, INe. <br /> <br />/J-{) <br /> <br />J, the undcrsigned Sceretary of Aristocrat Ranchette Water Project, Inc., a Colorado <br />corporation, do herehy certify to Northern Colorado Watcr Conscrvancy District, and all other <br />concerncd, that (a) a meeting orthe Hoard of Directors of the said Corporation duly and specially called <br />and held on the 23rd day of April, 1999, a quorum being at all times present, the following resolutions <br />were onanimollsly ndop!ed and recorded ill the millute book of said Corporation, kept by me, (b) such <br />resolutions are in aeconl wilh and pllIsuant to the Articles of Incorporation and By-Laws of said <br />Corporation, nlltl (c) such Icsolntions are now in full force and effect and have not been revoked or <br />amendcd in any mRllller: <br /> <br />WHEREAS, the Hoard of Directors of the Corporation having determined by majority vote the <br />following issues and itcms, IT IS: <br /> <br />RESOLVED, that ARWP shall cnter into an Application Class C Allotment Contract for thc <br />transfer of shares of water from owncrs and melubers of the Northern Colorado Water Conservancy <br />District; and <br /> <br />RESOLVED, that Clcte Larson, as President, and Belinda Riggs, as Secret.ary of ARWP, aTe <br />authorizcd amI empowered to execute the Class C Allotment Contract; and <br /> <br />RFSOLVED, that Clcte Larson, as President, and Belinda Riggs, as Secretary, are authorized <br />and cl1lpowcrcd to execute thc Agrccmcnt with J[alOld W. Bird & Eliezer M.
