This INTERCREDITOR AGRJ3J3MENT is entered into this 11 th day of April, 1997 by
lIIlU between the Colorodo Water Conservation BOlll'd (CWCB), whose address is 1313
Sherman St., Room 721, Denver, Colorado 80203 and the United States of America
acting through the United States Dcportmetlt of Agriculture, Rural Utilities Service (the
"RUS"), whose address is 655 portet Street, Room E-IOO, Lakewood, CO 80215.

Whcrellll, Aristocrat Rlmchettes has entered into a IOllnarrangement with the CWCI:l
whereby thc CWCB has agreed to loan the principal sums of $600,000 tor 30 years at 4-
1/2%; with the annwU payment of $35,758.95.

Whereas, Aristocrat RanChettell Water Project, Inc. (A~WI'I) ha~ executed certain
documents in favor of the Colorado Water Conservation Hoard to evidence the CWCB
101ll1, including, but not limited to, a Promissory Note, Deed of Trust, and Security
Agreement.

Aristocrat Ranchette Water Project, ha~ ()lll.~tanding three (3) loans with the RUS. as
listed below. Each loan is secured by a Prrlmi~~ory Note, Deed of Trust, Security
Agreement, Financing Statement and A~~ignment ofIncome:
