WIIEIlliAS," the State and the Contractor did, on June 1, 1978
enter into a contract for the construction of an irrigation system
for the members of the Irrigation Company in Costilla County,
Colorado, at an estimated cost of Four Hundred Thousand Dollars
($400,000) which contract is attached hereto I1S exhibit "A", and
hereby incorporated into this amended contract, and

WHEREAS, the State and the 'Contractor have ~greed to amend the
original contract marked as exhibit "A" because it is not necessary
to spend' the entire Four Hundred Thousand Dol~ars ($400,000) but
it is only necessary to spend Two Hundred Fifty One Thousand Six
Hundred and Eighty Nine Dollars' and Eighteen Cents ($251,689.18)
in order to construct part of the project;

NOW THEREFORE, in consideration of the mutu~l and dependent
covenants herein contained, it is agreed by the parties hereto
as follows:

1. The terms and provision of that certain contract dated
June 1, 197B, attached hereto or Exhibit IIA" and incor-
porated her~in by reference, remain i~ full force 'and
effect except as amended herein.

2. Paragraph A. 9. is hereby amended to ~ead as follows:

9. To purch~se from the State all of the State's right,
title and interest in said project and any facilities
thereof, at a total purchase price of Three Hundred
Thirty Seven"Thousand One Hundred Thirty Seven Dollars
and Sixty Six Cents ($337,137.66), payable in thirty
annual installments of Eleven Thousand Two Hundred
Thirty Seven Dollars and Ninety Two Cents ($11,237.92)
each, wh!ch first installment shall be due and payable
on May 1, 1980 and yearly thereafter until the entire
principa~ sum shall have been paid. Said installation
payment shall be made payable to the Colorado Water
Conservation Board, payable at the offices of said
board in Denver, Colorado.

3. Paragraph B. 1. is hereby amended to read as follows:

1. Make ava!lable to the Contractor for the purpose of
this contract the sum of Two Hundred Fifty One
Thousand Six Hundred Eighty Nine Dollars and Eighteen
Cents ($251,689.18).' Said Two Hundred Fifty One
Thousand Six Hundred Eighr~ Nine Dollars and Eighteen
Cents ($251,689.18) shall be made available to the
Contractor in accordance with the following terms,
schedule and conditions:

a. Beginning with the monthly period commencing
July 1, 1978 and for every month thereafter
,until said project has been completed, the
