ARTICLE I
DEFINITIONS

SECTION 1. "Corporation" shall mean and refer to the ~~adley Farms
Filing #3 Homeowners Association, a non-profit organization.

SECTION 2. "Board of Directors" shall mean the electe'd representa ti ves
by the members of the vvadley Farms Filing #J Homeowners A ssociation to
conduct business on behalf of the membership.

SECTION 3. "Member" shall mean and refer to the record owner, whether
one or more persons or entities, of a fee simple title to any lot which
is part of ~~adley Farms Filing #J, but excluding those having an interest
merely as security for the performance of an obligation.

. SECTION 4. "Property" shall mean that certain real property de scri bed
as Wadley Farms Subdivision, Filing #3.

SECTION 5. "Lot" shall mean and refer to any plot of land shown upon
any recorded subdivision map of the property identified as 'v~a.dleyFarms
Subdivision, Filing #3, excluding roads, streets, etc.

SECTION 6. "Declarant" shall mean North Colora.do Boulevard Land
Associates, and it's successors and assigns.

SECTION 7. "Covenant" shall refer to the document entitled "Declaration
of Liens, Easements, Covenants, Condi tions and Restrictions" for ~~adley
Farms, Filing #3 on file with the county recorder, Adams County, Colora.do.

ARTICLE II
OFFICES

. SECTION 1. Business Offices. The principal office of the corporation
shall be located in iiJadley Farms, Filing #3, Adams County, Colorado.
The-corporation may have such offices, either within or outside of
Colorado, as the Board of Directors may designate of as the business of
