<br />ARTICLES OF AMENDMENT
<br />TO THE
<br />ARTICLES OF INCORPORATION
<br />
<br />Pursuant to the provisions of the Colorado Nonprofit Corporation Act, the undersigned
<br />corporation adopts the following Articles of Amendment to its Articles of Incorporation:
<br />
<br />First: The name of the corporation is THE LAKE HENRY RESERVOIR COMPANY.
<br />
<br />Second: The following amendment of the Articles of Incorporation was adopted on the 17th day
<br />of July 1984, at a special meeting of stockholders at which a quorum of members was present
<br />and the amendment received at least two-thirds of the votes which members present or
<br />represented by proxy were entitled to cast, said amendment being as follows:

<br />BE IT RESOLVED by the Stockholders of The Lake Henry Reservoir Company that the Articles
<br />of Incorporation of this Company be and are hereby amended by the deletion of Articles Second,
<br />Third, Fourth, Fifth, Sixth, Seventh, Eighth, Ninth, and Tenth and the substitution of new Articles
<br />Second, Third, Fourth, Fifth, Sixth, Seventh, Eighth, Ninth, and Tenth in their place, which new
<br />Articles Second through Tenth shall provide as follows:

<br />SECOND. Obiects and Purooses
<br />
<br />The objects and purposes of our said Company are as follows:
<br />
<br />A. To acquire what is commonly known as the "Lake Henry Reservoir", situated in Sections
<br />Thirty-one (31) and Thirty-two (32), Township Twenty (20) South, Range Fifty-six (56) West of
<br />the 6th P.M., and in Sections Five (5) and Six (6), Township Twenty-one (21) South, Range
<br />Fifty-six (56) West of the 6th P.M. in Crowley County, Colorado, together with all priorities of
<br />water, all appropriations, and all water rights heretofore or hereafter decreed and adjudicated to
<br />the said Lake Henry Reservoir, and all enlargements and extensions thereof, and all dams,
<br />embankments, gates, easements, ditches, canals, rights-of-way and all other structures,
<br />appliances, fixtures, and other property or whatsoever kind and description the same may be,
<br />and which are now, and which have been heretofore, or which may hereafter be used in
<br />connection with the operation of said reservoir and the storage and use of appropriations of
<br />water therefrom.

<br />B. To maintain, operate and conduct said reservoir in such manner as to fumish water for
<br />manufacturing, irrigation, domestic, municipal and all other beneficial uses by the Stockholders
<br />of the Company, and it may acquire other property which may be necessary or expedient in
<br />connection with the ownership and proper distribution of said water rights, and improve, expand,
<br />and extend the use thereof, and it may expand or alter the said reservoir and all structures and
<br />works in connection therewith, and improve and benefit said water rights, in such manner as may
<br />hereafter be determined upon by the Stockholders, Board of Directors or officers of said
<br />Company.

<br />C. To borrow funds for the use and needs of our said Company, and to issue proper and suitable
<br />evidences of indebtedness in its name for the repayment of any sums so borrowed; to incur
<br />indebtedness for the purpose of raising funds with which to maintain, operate, improve, extend,
<br />and expand the said Lake Henry Reservoir and all structures and works in connection therewith,
<br />and to improve and benefit the character of water rights in said reservoir; to issue negotiable
<br />bonds or promissory notes, or both such bonds and notes, payable at such times and in such
<br />installments as may to our said Company seem proper and advisable; to issue notes which may
<br />be converted onto bonds, or to issue any other instrument of writing which may be found
<br />necessary to the advantage of said Company; to secure the payment of any such evidences of
