William McDonald, Director <br />Re: Stagecoach Reservoir Project <br />Dear Mr. McDonald: <br />This letter is to confirm that I have reviewed that certain <br />document entitled "Contract Amendment" dated the lst day of July, <br />1987 between the State of Colorado, Department of Natural <br />Resources (Colorado Water Conservation Board) and the Upper Yampa <br />Water Conservancy District ("Amendment"). As the attorney for <br />the Upper Yampa Water Conservancy District ("District"), it is my <br />opinion that: <br />1. James D. Funk is the duly elected Chairman of the Board <br />and President of the District, and John R. Fetcher is the duly <br />elected Secretary/Treasurer of the District; <br />2. James D. Funk has the authority to bind the District <br />and the Amendment has been validly approved by the Board of <br />Directors of the District. <br />3. The Board of Directors of the District have the <br />authority •to enter into the Amendment in accordance with the <br />approval of the electors of the District of the incurrence of an <br />indebtedness to the State of Colorado (or its agencies) at a <br />special election of the District held on Tuesday, May 8, 1984. <br />4. There are no provisions of State or local law that <br />prevent the Amendment from binding the District. <br />5.
