5.' This agreement is not intended, and it shall not ,be construed, as an agreement to u~dertake and perform S,tage II activities, but rather is intended as an interim agreement for the purpose of memorializing the parties' agreements and understandings with respect to the compensation and' reimbursement of expenses incurred by the Contractor in its activities preliminary to Stage II activities as described above. 6. This Agreement shall bind and benefit the parties and their successors. 7. This' contract may be terminated by either party with.or without cause upon 10 days notice in writing to the other party at the addresses first above given. In the event that the contract is so terminated I the State shall compensate the Contractor for all services rendered prior to the' time that notice of termination is given or received by the Contractor. 8. This contract shall become effective immediately upon. its execution by proper state signatories and shall . automatically terminate March 31, 1986, unless sooner terminated by either party to the contract pursuant to the provisions of paragraph 7. 9. This contract is not assignable by the Contractor except with t~e prior written approval of the State. 10. This contract is subject to and contingent upon the availability of the $197,436 grant which Reclamation has made available to the State. The State represents that it has an agreement .with Reclamation to provide the funds for 'the purposes of this contrac~ (Reclamation Contract). The State shall comply with the Reclamation Contract. If, in the State I 5 sole opinion, the State deems it necessary, the State shall enforce the Reclamation Contract in order to provide funding for this contract for the benefit of "the Contractor and the State. . .......
