<br />Articles of Incorporation <br />Page I <br /> <br />ARTICLES OF INCORPORATION <br />OF THE <br />APPLETON NORTHWEST (ML 369) LATERAL & DRAINAGE CORPORATION <br />(A Colorado Non-Profit Corporation) <br /> <br />The Incorporators listed below, all natural persons over the age of eighteen (18) years, <br />pursuant to the Colorado Revised Nonprofit Corporation Act, as amended, adopts the following <br />Articles of Incorporation. <br /> <br />Article 1. The name of this corporation shall be Appleton Northwest (ML369) Lateral <br />and Drainage Corporation. <br /> <br />Article 2. The corporation shall have perpetual existence. <br /> <br />2.1 Upon any dissolution or liquidation of the corporation, after paying or adequately <br />providing for the payment of all expenses and obligations, its assets shall be divided equally <br />among the members. <br /> <br />Article 3. The corporation is not organized for, nor does it contemplate, profit or <br />monetary gain. <br /> <br />3.1 This corporation is organized for irrigation purposes in order to supply its <br />members with the irrigation water the members are entitled to received from the Grand Valley <br />Irrigation Company. <br /> <br />3.3 The corporation shall have any and all rights, powers, and privileges of <br />a corporation organized under the Revised Colorado Non-Profit Corporations Act as the same <br />may be amended from time to time. <br /> <br />Article 4. Ditch System: <br /> <br />4.1 The water used by the members of the corporation is from the Grand Valley <br />Irrigation Company. The water is taken from headgate 369 on the Grand Valley Canal. <br /> <br />4.2 The ditch shall commence at headgate 369 on the Grand Valley Canal and <br />run south west 700 feet, turning directly south for 1360 feet to 22 Y2 Road. From this point the <br />ditch divides continuing south 1400 feet east of 22 Y, Road and also west 1640 feet, and south on <br />the west side of 22 \12 Road for 980 feet. From the eastside of22 Y, Road, the ditch curves west <br />into a diversion box, where it crosses Presigo wash. From this point, the ditch continues west 46 <br />feet where it divides, going west 1563 feet and continuing southwest 3845 feet, at which point it <br />turns east for 585 feet before discharging into the Presigo wash, all as shown on the map hereto <br />attached as Exhibit "A" and by this reference incorporated herein. <br />
