<br />-- <br />( , : <br />.~. <br /> <br />r. <br />-.~ <br /> <br />(7) Actual construction as called for in the bid <br />documents and in Change Orders approved by the <br />Consultant. the Contractor. the Construction Firm. <br />and the State. <br /> <br />(B) Engineering services for construction <br />management. including design and construction <br />management for State-approved Change Orders. <br /> <br />(9) Legal services for: <br /> <br />(a) Reviewing engineering services contracts. <br /> <br />(b) Reviewing this contract. <br /> <br />(0) Reviewing construction contract <br />documents. <br /> <br />(d) Acquiring the land and water rights <br />needed for the project. <br /> <br />(e) Complying with all fedetal State, and <br />local regulatory requirements. <br /> <br />Legal services must be approved by the State <br />in writing before they are rendered to be <br />eligible for payment by the State. <br /> <br />2. Provide the Contractor with such technical assistance <br />as the State deems appropriate in planninq. constructinq. and <br />operatinq the project and in coordinatinq the project with <br />local official comprehensive plans for sewer and water and with <br />any State or area plans for the area in which the project is <br />located. <br /> <br />D. This contract is not assiqnable by the COnLractor except <br />with the prior written approval of the State. <br /> <br />E. The parties to this contract intend that the relationship <br />between them contemplated by this contract is that of <br />lender-borrower. not employer-employee. No aqent. employee. or <br />servant of the Contractor shall be. .or shall be deemed to be. <br />an employee. aqent. or servant of the State. The Contractor <br />will be solely and entirely responsible for its acts and the <br />acts of its aqents. employees. servants. enqineerinq firms. <br />construction firms. and subcontractors durinq the performance <br />of this contract. <br /> <br />F. At all times durinq the performance of this contract. the <br />Contractor shall strictly adhere to all applicable federal and <br />State laws and requlations that have been or may hereafter be <br />established. <br /> <br /> <br />G. This agreement is intended as the complete inteqration of <br />all understandinqs between the parties. No prior or <br />contemporaneous addition. deletion. or other amendment hereto <br />shall have any force or effect whatsoever unless embodied <br />herein in writinq. No subsequent novation. renewal. addition. <br />deletion. or other amendment hereto shall have any force or <br />effect unless embodied in a written contract executed and <br />approved pursuant to State fiscal rules. <br /> <br />H. In its sole discretion. the State may at any time and in <br />writinq qive any consent. deferment. subordination. release. <br />satisfaction. or termination of any or all of the Contractorls <br />obliqations under this aqreement. with or without valuable <br />consideration. upon such terms and conditions as the State may <br />determine to be: (a) advisable to further the purposes of this <br />contract or to protect the State's financial interest therein. <br /> <br />paqe i of 10 paqes <br />
