VICE-PRESIDENT: The Vice-President shall perform the functions and duties <br />of the President in the absence of the President, or when the president is unable to act, and shall <br />perform such additional duties as may be prescribed from time to time by the Board of Directors. <br /> <br />4. SECRETARY-TREASURER: The Secretary-Treasurer shall perform all duties <br />usually incident to the Office of both Secretary and Treasurer of a corporation. The Secretary- <br />Treasurer shall have the custody of all funds, securities, and other assets of the Association until <br />the same shall be disposed of by order of the Board of Directors. The Secretary-Treasurer shall <br />prepare and keep proper books of record and of account of the business of the Association, and <br />all such other books and records as may be prescribed from time to time by the Board of <br />Directors and shall be the custodian of the corporate seal and of all books, records and papers <br />belonging to the Association; and shall draw and attest all checks, vouchers, and orders for the <br />payment of money after such disbursements have been authorized by the Board of Directors or <br />a committee thereof; and shall make a report of all accounts and doings as may be required to <br />give bond with a responsible bonding company, satisfactory to the board of Directors, for the <br />satisfactory performance of duties, which bond shall be in an amount to be determined by the <br />Board of Directors. The cost of said bond shall be paid by the Association. <br /> <br />5. MANAGER: The board of Directors shall authorize the appointment of a manager <br />who shall not be a Director or a member of the Association, and the duties and authority of such <br />manager shall be prescribed by the Board of Directors. The compensation of the manager shall <br />be determined by the Board of Directors. <br /> <br />6. OFFICERS HOLDING MORE THAN ONE OFFICE: No director may hold <br />more than one office concurrently. <br /> <br />ARTICLE VI <br />AMENDMENTS <br />These bylaws or any part hereof may be amended or repealed or additional Bylaws may <br />be adopted by a vote of the majority of the members of the Board of Directors at any regular or <br />special meeting of the Board of Directors. <br /> <br />4 <br />
