3. VICE-PRESIDENT: The Vice-President shall perform the functions and duties
of the President in the absence of the President, or when the president is unable to act, and shall
perform such additional duties as may be prescribed from time to time by the Board of Directors.

4. SECRETARY-TREASURER: The Secretary-Treasurer shall perform all duties
usually incident to the Office of both Secretary and Treasurer of a corporation. The Secretary-
Treasurer shall have the custody of all funds, securities, and other assets of the Association until
the same shall be disposed of by order of the Board of Directors. The Secretary-Treasurer shall
prepare and keep proper books of record and of account of the business of the Association, and
all such other books and records as may be prescribed from time to time by the Board of
Directors and shall be the custodian of the corporate seal and of all books, records and papers
belonging to the Association; and shall draw and attest all checks, vouchers, and orders for the
payment of money after such disbursements have been authorized by the Board of Directors or
a committee thereof; and shall make a report of all accounts and doings as may be required to
give bond with a responsible bonding company, satisfactory to the board of Directors, for the
satisfactory performance of duties, which bond shall be in an amount to be determined by the
Board of Directors. The cost of said bond shall be paid by the Association.

5. MANAGER: The board of Directors shall authorize the appointment of a manager
who shall not be a Director or a member of the Association, and the duties and authority of such
manager shall be prescribed by the Board of Directors. The compensation of the manager shall
be determined by the Board of Directors.

6. OFFICERS HOLDING MORE THAN ONE OFFICE: No director may hold
more than one office concurrently.

AMENDMENTS
These bylaws or any part hereof may be amended or repealed or additional Bylaws may
be adopted by a vote of the majority of the members of the Board of Directors at any regular or
special meeting of the Board of Directors.
