2: The parties anticipate that only the upper portion of
draw, above an existing drainage ditch, will be necessary to
accommodate the remaining dirt to be moved.

3. Stewart Ditch Company agrees to perform the reconstruction
work in a careful and prudent manner, giving proper regard to
recommendations by soil conservation authorities, and to maintain
the reconstructed ditch in compliance with all applicable laws.

4. Stewart Ditch Company agrees to reconstruct the ditch
rider's road to a level superior to that of the pre-existing road,
and to permit continued use of the road for access to the property,
according to its easement.

5: Stewart Ditch Company agrees to relandscape and reseed that
portion of the property affected by the reconstruction work,
including the replanting of several new seedling trees. Both
parties acknowledge that the portion of the property affected by the
reconstruction work will not necessarily conform to the topography
of the pre-existing property, due to the removal and relocation of
approximately 250,000 cubic yards of dirt.
