entitled to any of the benefits of the personnel system
of the State.

5. Bindino Effect. This Agreement shall bind and benefit
the parties and their successors.

6. Termination. This contract may be terminated by either
party with or without cause upon 10 days notice in
writing to the other party at the addresses given in
paragraph 10. In the event that the contract is so
terminated. the State shall compensate and reimburse
the Contractor for all costs and expenses paid or
incurred by it prior to the time that notice of
termination is received by the Contractor.

7. Effective Dates of Contract. This contract shall not
become effective until it has been executed by proper
state signatories, whereupon it shall remain in full
force and effect until December 31. 1986. unless sooner
terminated by either party to the contract pursuant to
the provisions of paragraph 6.

8. Assiqnabilitv. This contract is not assignable by the
Contractor except with the prior written approval of
the State.

9. Continaencv. This contract is subject to and
contingent upon the continuing availability of the
$197.436 grant which Reclamation has made to the State.

all matters concerning this contract shall be:

Whenever notice is required pursuant to this contract.
it shall be deemed to have been sufficiently given if
given in writing by United States mail. postage
prepaid. certified or return receipt requested. to the
