<br />BYLAWS OF THE <br />WEST RHONE LATERAL DITCH COMPANY <br />(a non-profit mutual ditch corporation) <br /> <br />ARTICLE I - ORGANIZATION NAME, WATER SOURCE, AND LANDS SERVED <br /> <br />SECTION 1 - The name of the organization is the West Rhone Lateral Ditch Company <br />(Company). <br /> <br />SECTION 2 - The water source for the West Rhone Lateral is from Headgate number <br />395 of the Grand Valley Irrigation Company (GVIC) Mainline Canal, and thence via a channel in <br />the west side of the division structure at the northeast corner of 21 Y, and I Y, Roads. The lateral <br />runs west along I Y, Road for approximately Y, mile to 21 Road, then south along 21 Road for <br />approximately % mile and ends at the drain ditch located about !4 mile south of I Road. The <br />service area of the lateral includes most of the lands lying west of 21 Road, south of I Y, Road, <br />east of Hunter Wash, and north of the drain ditch located about!4 mile south of! Road; and also <br />includes one parcel of land east of 21 Road. Exhibit A shows the lands served by the lateral, <br />which encompass approximately 134 acres; any other lands are specifically excluded. <br /> <br />SECTION 3 - The four parcels ofland encompassing approximately 28.6 acres at the <br />northeast comer of21 and I Roads utilize the facilities of the first 1/4 mile of the West Rhone <br />Lateral, beginning at the division structure described in Section 2 above, and ending at the turnout <br />1/4 mile downstream. The designated water rights of the shareholders of the West Rhone Lateral <br />Ditch Company do not serve this acreage. Instead, the property owners of this acreage <br />periodically divert their water from the channel in the east side of the division structure, turn it <br />into the West Rhone Lateral, and divert it at their turnout 1/4 mile downstream. The West Rhone <br />Lateral provides water carriage facilities for this acreage, but does not service it directly. The <br />subject acreage is labeled "carriage water area" on Exhibit A <br /> <br />ARTICLE II - PURPOSE <br /> <br />SECTION 1 - The purpose of this Company shall be for the management of the lateral for <br />the landowners whose properties are irrigated with water from this lateral. This includes, but is <br />not limited to, administering the lateral according to applicable State of Colorado water laws, <br />ensuring an equitable distribution of water shares is deUvered to the membership, obtaining <br />necessary easements or rights of way necessary for the operation and maintenance of the lateral. <br />The Company shall manage, upgrade, maintain, repair, clean, and when necessary reconstruct the <br />lateral in the best interests of all members. <br /> <br />ARTICLE III - MEMBERSHIP AND SHARES <br /> <br />SECTION I - Members of the corporation will be property owners, in good standing, <br />whose properties are served by the lateral as described in Article I, Section 2. <br /> <br />SECTION 2 - The total number of shares of West Rhone Lateral Ditch Company stock <br />will always remain equal to the number of shares the corporate membership holds in the Grand <br /> <br />- 1 - <br /> <br />August 11,2000 <br />
