The election of Officers /Directors shall take place at the Fall Meeting of the <br />Members. The OfficerslDirectors shall be chosen by a majority vote of the Members present at the <br />Member meeting and will take office at the .A.nnual Meeting. <br /> <br />Section 4. All Officers/Directors shall hold office at the pleasure of the Association; <br />however, no term of office shall last for more than two (2) years. An Officer/Director may be re- <br />elected at the discretion of the Members of the Association for additional terms. Any <br />OfficeriDirector may be removed from office, with or \.,ithout cause, by a majority vote of the <br />Members. Any OfficeriDirector may resign at any time by giving written notice to the Board, the <br />President or the Secretary. Such resignation shall take effect on the date of receipt of such notice <br />or at any later time specified therein, and unless othemise specified therein, the acceptance of such <br />resignation shall not be necessary to make it effective. <br /> <br />Section 5. A vacancy in any office shall be filled by election by the Members of the <br />Association. The OfficeriDirector elected to such vacancy s~all serve for the remainder of the term <br />of the Officer/Director replaced. <br /> <br />Section 6. The President, or in hislher absence the next highest Officer/Director, shall <br />preside at all regular and special meetings of this Association. He/she shall maintain order and <br />dispatch any business which may properly come before him/her. The President shall perform any <br />other duties that may reasonably be assumed to be incidental to such office in accordance with the <br />orders and resolution of the Board of Directors, and further, the President shall sign all notes, <br />checks, leases, mortgage deeds and other written instruments, provided that all notes and checks are <br />also signed by the Treasurer. The Vice President may sign any of the aforementioned documents <br />in lieu of the President. <br /> <br />Section 7. The Vice President shall perform the duties as are delegated to him/her by <br />the President, and in the absence of the President shall perform all such duties of the President. <br /> <br />Section 8. The Secretary shall be ex-officio the Secretary of the Association, as well as <br />the Board of Directors, and shall record the votes and keep the minutes of all proceedings in a book <br />to be kept for that purpose. He/she shall record in a book kept for that purpose the names of all <br />Members of the Association together with their addresses as registered by such Members. He/she <br />shall keep the corporate seal of the Association and affix it on all papers requiring said seal. He/she <br />shall serve notice of meetings to the Members and shall perform such other duties as required by <br />the Board. <br /> <br />-3- <br /> <br />Amended 11/97 <br />
