Provisions .regarding the aistribution of assets on dissolution are: The 80ard of Directors shall adopt a
resolution recommending a plan of distribution, which shall be submitted to a vote of the members pursuant
to C.R.S. H-26-104.

Purposes of the Organization. The purposes for which the corporation is organized are as follows: To
provide for the continuous well being and general common good and protection of all property owners of
Columbine Ranches Subdivision and other resident parties residing upon Section 5, Township 2 South,
Range 66 West. Adams County, Colorado; to provide for a collective voice in any affairs effecting such
common good and well being, such as: actions at law against any property rights. surface or mineral, rights-
of-way, easements for common areas. Securing through political and other legal process, services generally
provided through the County of Adams and/or other political agencies or subdivisions thereof. such as police
protection, road and street maintenance, park and recreation facilities and maintenance, including ponds,
ditches, rodent and insect control, soil conservation, bussing to and from public schools within the school
district having jurisdiction over lands constitution said Section 5, Township 2 South, Range 66 West, and in
general to engage in and to carryon any lawful business necessary, suitable or convenient in connection
with or incidental to the accomplishment of any corporate purpose or design directly or indirectly to promote
the interest of the Association or to enhance the value of the properties or services, whether such business
is similar in nature to the foregoing purposes. or otherwise. To take title to any property, real or personal,
to be held for the good and benefit of the Association.

In furtherance of its lawful purposes. the Association shall have and may exercise all of the rights, powers
and privileges now or hereafter exercisable by corporations organized under the laws of Colorado. In
addition, it may do everything necessary suitable, convenient. or proper for the accomplishment of any of its
corporate purposes.

Regulation of Internal Affai~s. The following provisions are inserted for the regulation of the internal affairs
of the corporation. and they are in furtherance of and not in limitation or exclusion of the powers conferred
by law: (1) No contracts or other transaction of the corporation with any other person. firm or corporation,
or in which this corporation is interested, shall be affected or invalidated by the fact that one or more of the
directors or officers of this corporation is interested in or is a director or officer of another corporation, or
the fact that any director or officer individually or jointly with others, may be a party.to or may be interested
