Attending were
Jim Briscoe, Judy Briscoe, Jean Barton, Bill Barton, Jack D'orio,
Jerry Neill, Jim Ely, Pat cowger, Kim cowger, and Stephen Hinchman.
Those represented by proxy were Haggerty, Winn, Delta Housing,
Inc., and Peter Robinson. It was determined that there was
adequate shares of stock represented at the meeting, in person or
by proxy, for a quorum for the 1992 annual meeting. The minutes
of the annual meeting of May 18, 1991, were read, discussed and
approved as typedj the financial statement for the year 1991, was
reviewed, discussed and approveq as presented; upon a motion being
made by. Jack D'Orio, seconded by Stephen Hinchman and passed
unanimously.

Old business was first discussed. The loan payment was
requested by the Colorado Water Conservation Board in the amount of
$5,402.26. Such annual payment will be due each year for the next
40 years. A discussion was held concerning the storage limitation
on the reservoir spillway. It needed to be rip rapped, which was
accomplished late last fall, b~t the inspector for the Division
Engineer's office requests that the rip rap be relocated along the
side of the spillway. The diviSion boxes on the first, second and
third laterals all need worked ~n and Delta Housing, Inc., (ARCO)
will be contacted to pay for the constructiAn work done at the Lake
Fork diversion and also will be asked if/they wish to pay for or
participate in the work or replacement if'f the lateral division
boxes.

New business was then discussed, initially concerning the
maintenance schedule, what kind of work was done in 1991 and what
kind of work needs to be done in 1992. The main attention will be
directed towards completion of the Lake Fork Diversion construction
work and commencing work on the Beaver Diversion Ditch out of
Middle Fork. It was discussed about piping the ditch around the
corner at the beginning of the aighline Ditch, but was decided to
wait and see whether it was financially able to be done at this
time. The Forest Service report from the fall of 1991 was reviewed
and discussed as to what was necessary to complete the Lake Fork
project. It was decided that a seeding of the ditch be done, a
sloping of certain portions of the ditch bank be accomplished and
that gates or other means of controlling and limiting vehicle
access to the ditch be installed just above the Interocean road and
on the sharp corner above the Lake Fork Diversion. With regards to
future maintenance, it was felt that the normal maintenance needs

~1-
