IONNIDES <br /> <br />RE: FRUITLAND IRRIGATION COMPANY, <br />UNION VALLEY DAM PROJECT <br /> <br />Dear Mr. Ionnides: <br /> <br />As attorney for Fruitland Irrigation Company, this is <br />the necessary and requested attorney's opinion letter <br />concerning the following: <br /> <br />The signatures of Norbert Jackson, as President, and <br />William J. Mugford, as Secretary, signing for the entity, <br />Fruitland Irrigation Company, are those of officials duly <br />elected by the stockholders therof. <br /> <br />Norbert Jackson and William J. Mugford have the <br />authority to bind the Fruitland Irrigation Company and the <br />Contract was validly approved by the governing body, both at <br />the annual meeting in January, 1989, and April, 1989. <br />Enclosed is a certificate to be attached to the Minutes of <br />the April, 1989, meeting earlier sent to you. The certified <br />minutes of the January 14, 1989, annual meeting were sent to <br />you earlier and are attached as Exhibit "0" to the Contract. <br /> <br />The governing body of Fruitland Irrigation Company has <br />been given authority to enter into the Contract, and the <br />Contract has been approved by a vote of the stockholders at <br />their January, 1989, meeting of the stockholders, as <br />verified by the certified copies of minutes. <br /> <br />There are no provisions in the Articles, By-Laws or <br />Code of Fruitland Irrigation Company, or in any State or <br />local law, preventing the Contract from binding the entity. <br /> <br />BRANCH OFFICE, 229 GRAND AVE.
