RESOLUTION

The stockholders of the Fruitland Irrigation Company authorize
the Board of Directors to obtain a loan in an amount sufficient to
complete the necessary construction, and sign the necessary contracts,
loan and lien documents, and any other necessary documents to
accomplish the separate project to replace the two (2) spillways in
the Highline Canal; and that we pledge the Company revenues for loan
repayment and authorize the Board of Directors to levy the needed
assessments to pay the annual interest and principal due to pay on the
loan.

This Resolution passed unanimously.

The Company attempted to get a grant from the Department of Local
affairs, but the last time the company applied for a grant, it was put
on the bottom of the list of the applications.

Charles Klaseen made a motion to levy a fifteen cent (.15)
assessment for O. & M.; it was seconded by Orval Cotten; and the
motion passed.

Orval Cotten made a motion the same Board of Directors be held
over for another year; it was seconded by Edward Klaseen; and the
motion passed.

The meeting was adjourned.
