<br />Section 3. The Superintendent is authorized <br />cnd directed to take immediate action for the prosecution <br />of any person or corporation altering or in any way inter-_ <br />fering with any headgate on the canal system of the <br />~ompany after the same has been fixed by the Superintendent <br />r Ditch Riders of the Company, and notice poster thereon <br />t~at the headgate has been set by such Superintendent <br />or Ditch Rider. <br /> <br />ARTICLE XVI <br />SALARIES <br />Section 1. The Superintendent of the Company, <br />Ditch Riders and other employees shall receive such <br />compensation as may be determined upon by the Board <br />of Directors. <br />Section 2. The Board of Directors shall <br />receive as compensation for their services, $0.00 (zero) <br />per day for attendance at each meeting of the Board and <br />for each day actually employed in the management of the <br />affairs of the Company, and their reasonable and actual <br />traveling expenses ~hen actually engaged in the business <br />of the Company, to be audited and allo~ed as in other <br />cases of demand against the company. <br />Section 3. The Secretary - Treasurer shall be <br />allowed such compensation as may be determined upon by <br />the Board of Directors. <br /> <br />AP.TICLE XVII <br />WASTAGE AND HEADGATES <br />All head gates shall be under the exclusive <br />control of the water Superintendent snd shall at no <br />time be turned on or off e>:cept by notifying the \_ <br />Superintendent and receiving his consent therefor. The <br />headgate of any stockholder allowing water to go to ~2ste <br />shall be closed until he shall satisfy the Board that he <br />is able to care for and apply his water. <br />ARTICLE XVIII <br />CONPLAlliTS <br />In case any stockholder shall ahve any complaint <br />EO make on account of the distribution of ~ater in the <br />C08pany 0r O~ account of the conduct of the ~ater officers <br />of the Company, or for any other reason, he shall make <br />complaint in writing to the Superintendent who shall take <br /> <br />-10- <br /> <br />Any director ~ho accumulates three or more <br />un~xcused absences from regular board meetings during <br />a calendar year shall be considered to have resigned <br />and a vacancy to have been thereby created effective <br />at the scheduled date and time of the beginning of the <br />third such meeting. <br /> <br />Section 3. Powers. The BDard of Directors <br />shall have power to appoint a Superintendent to ~hom <br />may be delegated such of the pOwers relative to the <br />distribution of "ater and the maintenance of the ditch <br />system as the Board of Directors may ~~ Resolution <br />direct. ~ <br /> <br />Section 4. To make rules and <br />~egulaLiDns not inconsistent with the Statutes of <br />the State of Colorado, the Articles of Incorporation <br />or By-La~5, for the guidance of the officers and <br />employees in the management of the Company, and <br />prescribe such rules as IDay be necessary from time <br />to time for distribution of water from the water~ays <br />of the Company, and have all such other powers ~s <br />are usually exercised by Board of Directors in <br />Companies of like character. ~ <br />Notwithstanding, the Board of Directors <br />shall not make, authorize or approve changes in the <br />use of water to a different type of use in an <br />amount greater than 10% of the amount of ~at~r <br />already approved for that type of use without <br />shareholder approval. <br />ARTICLE VI <br />ANNUAL REPORTS <br />The Board of Directors shall cause its <br />officers to make a full exhibit of their several <br />departments and to prepare reports for sub- <br />mission to the annual meeting of the stockholders. <br /> <br />-3- <br />
