LOWER BLUE RIVER BASIN

MEMORANDUM OF AGREEMENT

This Agreement, dated this 25th day of October, 1988,
is between the Board of County Commissioners of Summit County,
Colorado (the "county"), and the Colorado Water Conservation
Board, a division of the Colorado Department of Natural

Resources (the "Board"), and encompasses Straight Creek find
the Blue River downstream of Dillon Dam ("Lower Blue River

Basin").

Whereas, pursuant to ~J7-92-102(J), CRS (1987), the

Board, is vested with the authority to appropriate such water

of natural streams as may be required for minimum stream flows

to preserve the natural environment to a,reasonable degree;

Whereas, the Board has made application with the
District Court in and for Water Division No.5, State of

Colorado (the "Water court"), in Case Nos.' 85CW648, 87CW29J,

87CW294, 87CW295, 87CW296, 87CW297, 87CW298 and 87CW299 (the

"Lower Blue Cases"), for in stream flow water rights on the

stream segments set forth in the attached Appendix A

(collectively hereinafter the "Lower Blue instream flow

rights");
