<br />OCT-l::>-l:;:;'r k:l':;j:::>G <br /> <br />1"".1d~ <br /> <br />........- <br /> <br />, <br />, <br /> <br />LOWER ELK RIVER <br />FLOOD ASSOCIATION <br /> <br />This Resolution Is entered into by and between the Parties who are signatories to this <br />instrument, for the express purpose of the unification and establishment of goals and <br />objectives to mitigate flood damage to their personal and real property in Routt <br />County, Colorado. <br /> <br />WHEREAS, the Parties hereto are permanent residents of Routt County, Colorado <br />and own property situate on the tributary of the lower Elk River, and; <br /> <br />WHEREAS, the Parties have recently realized damage or threat of damage by <br />seasonal high-water levels from the lower Elk River" and; <br /> <br />WHEREAS, the Parties believe that a concerted effort must be made to prevent <br />further material damage to both private and public property In the future, and; <br /> <br />WHEREAS, such mitigation efforts may require the participation of both the public and <br />private sector In a cohesive master plan, and; <br /> <br />WHEREAS, the development and implementation of that plan must necessarily take <br />into consideration the common and mutual Interests of the Parties as well as the <br />unique and several interests; <br /> <br />NOW THEREFORE BE IT RESOLVED, that the undersigned Parties have entered <br />into this Resolution for the purposes set forth above and direct the Chairman and <br />Vice-Chairman to take whatever steps and actions reasonably required to establish <br />the formation of the Association, and further authorize them to communicate with the <br />numerous private and public agencies, file reports, obtain grants, apply for permits, <br />award contracts and otherwise enter Into reasonable agreements for the development <br />and implementation of a mitigation plan for flooding on the lower Elk River, so long as <br />those agreements Infer no direct or indirect lIablHty upon the Parties, and directs the <br />Association to indemnify and hold harmless its officers and directors from any liability <br />resulting from their legal acts In accordance with this Resolution. <br /> <br />TOTF'lL P,02 <br />
